Terms - House Fly Referral Agreement

1) Overview & Acceptance

This House Fly Referral Agreement (the “Agreement”) governs participation in the House Fly Referral Program (the “Program”). By submitting the referral sign-up form or otherwise participating, you agree to be bound by this Agreement. House Fly may publish or update a Program Schedule and/or Program Guide from time to time describing current incentives, fees, and operational rules; those materials are incorporated by reference and may control over conflicting economic details in this Agreement.

2) Program Schedule (Economic Parameters)

House Fly may update the Schedule below by posting an updated version; updates apply prospectively.

  • Customer Offer (first booking): 20% off, cap $500, one per new customer/household; not stackable; excludes materials, taxes, and payment processing fees.
  • First-Job Bonus to Referrer:
  • If first completed job ≥ $150 → $50
  • If first completed job < $150 → $25

(No revenue share on the first job unless expressly stated in this Schedule.)

  • Ongoing Earnings (90 days): 10% of Net Revenue on additional purchases completed within 90 days of the booking date of the first completed job, with NO CAP per referred customer.
  • Promo Code Exclusion: If a promo code or discount is applied to a specific order during the 90-day Attribution Window, that order is excluded from Net Revenue for purposes of calculating the referrer’s earnings. Orders without promo codes continue to earn 10% of Net Revenue during the window. The use of a promo code on one order does not disqualify other eligible orders during the window.
  • Payout cadence: Monthly, Net-30, $50 minimum; unpaid balances roll. Payout via ACH after completion and hold periods described below.

3) Key Definitions

  • Referral Link / Code. A unique link or promo code issued by House Fly to correlate referred customers to a referrer’s account.
  • New Customer. A person who has never created a House Fly account and has no prior purchases, device, household, or primary payment method associated with an existing House Fly account.
  • Completed Job. A service order fulfilled through the House Fly platform and not cancelled, refunded, or disputed within the dispute window.
  • Net Revenue. House Fly’s platform take actually received for the relevant order after discounts, promotions, taxes, payment processing fees, refunds/chargebacks.
  • Promo Code / Discount. Any coupon, promotional code, new-customer credit, or price reduction applied at checkout.
  • Attribution Window. The 90-day period beginning at the time of the booking of the first completed job by a New Customer attributed to a referrer.

4) Eligibility & Enrollment

Open to individuals and organizations (e.g., real-estate agents/brokers, title companies, service providers, tradespeople, property managers, STR hosts, and customers). House Fly may require tax and payout details (e.g., W-9 in the U.S.) before issuing payments and may approve or reject applicants at its discretion.

5) How Referrals Are Attributed

  1. a) First-touch by code or link. The first valid Referral Link click or promo code used by a New Customer on their first purchase controls attribution and starts the 90-day window. Ties are resolved by the first code/link used at checkout.
  2. b) One referrer per customer. Each New Customer may be associated with one referrer only.
  3. c) No stacking. Codes cannot be stacked or combined with other referral or partner incentives unless House Fly expressly permits it.

6) What’s Excluded

  • Self-bookings (including same household, device, or payment card)
  • Cancelled jobs
  • Refunded or charged-back jobs
  • Jobs with an open or upheld dispute within 48 hours after completion
  • Existing House Fly customers
  • Orders where attribution rules are not met

7) Payouts; Holds; Taxes

Hold. Earnings become eligible for payout 14 days after a Completed Job to allow for disputes and chargebacks.

Method & threshold. ACH only; $50 minimum per monthly cycle; unpaid balances roll to the next cycle.

Taxes. Referrers are responsible for any taxes due. House Fly may issue Form 1099-NEC (U.S.) for annual payments ≥ $600 and requires accurate tax information before payment.

Clawback. House Fly may offset or claw back amounts previously paid for later refunds, chargebacks, fraud, or breach.

8) Permitted Promotion; Profession-Specific Rules; Disclosures

  1. a) General Participants (no special licensing restrictions). You may promote your link/code anywhere you normally market to consumers for everyday home services—including cleaning, handyman, lawn, painting, electrical, plumbing, flooring, marketing services, and non-transactional home inspections. This subsection applies to customers, homeowners, renters, property managers, STR hosts/co-hosts, service providers/tradespeople, marketers/advertisers, and local businesses.
  2. b) Settlement-Profession Participants (profession-specific restrictions). If you are one of the following professionals, additional rules apply: real-estate licensees (agents, associate brokers, brokerages), mortgage lenders/loan originators or mortgage brokers, title/escrow/settlement agents, real-estate appraisers, home inspectors performing inspections for a specific real-estate purchase/sale or mortgage transaction, and real-estate attorneys. For these participants, Program rewards are for general consumer marketing and may not be offered or paid in connection with referrals for services provided as part of a specific real-estate transaction or mortgage closing (e.g., transaction-related inspections, appraisals, title/settlement services). Where required by industry or state rules, compensation must be routed by/through your sponsoring broker, and you are responsible for obtaining any required broker approvals.
  3. c) FTC endorsement disclosures. If you publicly share a code or link, include a clear, proximate disclosure that you may receive a referral reward (e.g., “I may earn a referral reward from House Fly.”).

9) Anti-Spam; Lawful Conduct; Anti-Bribery

Anti-Spam. Email/SMS/social promotion must follow applicable marketing, privacy, and data-protection laws; emails must include an opt-out and honor opt-outs.

Anti-Bribery. You must comply with applicable commercial/public anti-bribery laws and refrain from facilitation payments.

Export/Use restrictions. You agree to comply with applicable export and sanctions laws and not to promote House Fly in prohibited jurisdictions or to prohibited parties.

10) Prohibited Conduct

  • Posting codes to public coupon sites or deal forums
  • Bidding on House Fly brand terms or engaging in paid search arbitrage using the brand
  • Misleading, spamming, or other deceptive practices
  • Impersonating House Fly or suggesting sponsorship/endorsement where none exists
  • Interfering with tracking (e.g., link-stuffing, cookie stuffing, framing, auto-redirects)
  • Sublicensing, selling, or bartering codes/links

House Fly may suspend or terminate participation and withhold or claw back payouts for suspected abuse or breach.

11) Brand Features & Publicity

House Fly grants a limited, non-exclusive, non-transferable, non-sublicensable license to use House Fly’s name, marks, and provided creative solely to promote the Program in compliance with any brand guidelines. House Fly may reference your name/brand to identify you as a Program participant. All goodwill in House Fly’s marks inures to House Fly.

12) Program Materials; Links; Program Guide

House Fly may provide unique links, codes, and creative. House Fly may update Program details (including incentives and fees) via an online Program Schedule/Guide; updated terms may supersede conflicting economic details in this Agreement and will apply after notice or posting.

13) Term; Suspension; Termination; Changes

Participation is at-will. House Fly may modify, suspend, or terminate the Program (or your participation) at any time, with or without cause, effective upon notice or posting; accrued, eligible payouts through the effective date remain payable, subject to this Agreement.

14) Confidentiality & Data

Non-public Program information (including rates and internal reporting) is House Fly confidential. You will not share end-user personal data obtained through the Program except as permitted by applicable law and the House Fly Privacy Policy; you will implement reasonable safeguards for any personal data you process.

15) Disclaimers; Limitation of Liability

THE PROGRAM IS PROVIDED “AS IS.” HOUSE FLY DISCLAIMS ALL IMPLIED WARRANTIES (INCLUDING NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE). TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) HOUSE FLY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; AND (B) HOUSE FLY’S TOTAL LIABILITY RELATING TO THE PROGRAM WILL NOT EXCEED THE AMOUNTS PAID TO YOU UNDER THE PROGRAM IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16) Indemnification

You will defend, indemnify, and hold harmless House Fly and its affiliates, officers, directors, employees, and agents from any third-party claim or demand (including reasonable attorneys’ fees) arising out of your Program participation, your promotional materials or representations, your breach of this Agreement, or your violation of law.

17) Independent Contractor; No Agency

The parties are independent contractors. Participation does not create any partnership, franchise, joint venture, employment, or agency relationship. You have no authority to bind House Fly.

18) Governing Law; Venue

This Agreement is governed by the laws of the State of Louisiana, without regard to conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Orleans Parish, Louisiana for any claim arising from or relating to the Program.

19) Miscellaneous

You may not assign this Agreement without House Fly’s prior written consent; House Fly may assign to an affiliate or successor. Failure to enforce any provision is not a waiver. If any provision is unenforceable, the remainder remains in effect. Sections that by their nature should survive, survive termination (including payment/hold, exclusions, confidentiality, limitations, indemnity, governing law).
